Chairwoman Warren opened the hearing on HB2371

Natalie Scott, Revisor's Office, provided an overview of the bill and stood for questions (Attachment 3)

Clayton Barker, Deputy Secretary of State, General Counsel Office of the Kansas Secretary, provided testimony in support of the bill.  His testimony is limited to the Bill in Section 16.  The amendment would change the fixed $150 formation filing fee for domestic and foreign LLCs to a fee with a ceiling of $150 that could be set lower by regulation. (Attachment 4)

Eric Stafford, Vice President of Government Affairs, Kansas Chamber, provided testimony in support of the bill.  He stated Series LLC's offer flexibility, cost savings and regulatory efficiency.  These are newer and unique business structures that are beneficial to the businesses who use them.  (Attachment 5)

William Quick and Bill Matthews, on behalf of Kansas Bar Association, provided testimony in support of the bill. Their testimony states by modeling the Delaware corporation and LLC statutes, Kansas and its business and legal communities have been able to benefit greatly.   (Attachment 6)

Proponent conferees stood for questions.

Kelly VanZwoll, J.D., VP Government Relations, Staff Attorney, Kansas Bankers Association, submitted neutral testimony. (Attachment 7)
