S.B. 311 would amend several sections of the Kansas statutes dealing with the dual filing of corporation papers with the offices of Secretary of State and county Register of Deeds. This bill is a cleanup measure since last year the dual filing requirement was eliminated but not all statutory references regarding this change were amended.





Background



A representative of the Kansas Bar Association (KBA) testified in support of this bill. He testified that the Senate Judiciary Committee started this trend of cleaning up the statutes in 1998 with the passage of S.B. 472 and H.B. 2422. This bill is the work of a joint effort of the Secretary of State and the KBA. He noted that it cleans up over a dozen statutes in the corporation code. The Committee moved that this bill be placed on the Consent Calendar.
