Brief(1)
S.B. 474 deletes a requirement that a duplicate copy of the articles of incorporation of a corporation be filed in the county register of deeds office where the corporation is domiciled.
Another provision would delete the local dual filing requirement for those corporations whose effective date was prior to July 1, 1998.
Background
The bill was supported by the Kansas Bar Association which said that no other business entity has this dual filing requirement and that most people wanting information on corporations call the Secretary of State's office which has more complete records.
The Senate Committee of the Whole added the grandfather clause provision.
The bill has no fiscal impact on the state.
